1) Acceptance of Terms
By accessing or using EngineerTrade.io (the “Site”) or any related services, materials, overlays, or communications (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.
EngineerTrade.io is operated by EngineerTrade LLC, a Wyoming limited liability company.
2) Audience
The Services are designed for qualified institutional investors, research professionals, and comparable entities. They are not intended for broad retail distribution or for use as a primary decision tool by individual investors.
3) Nature of Service (Non-Advisory Research)
EngineerTrade.io provides research visualizations, regime- and phase-context overlays, and standardized annotations based on the Gemstone & Moon Framework. The Services are intended to support internal discussions regarding market structure, posture context, and drawdown awareness within professional and institutional settings.
All content is provided for informational and educational purposes only. Nothing in the Services constitutes investment, financial, legal, tax, or trading advice, nor any recommendation or solicitation to buy, sell, or hold any security or instrument. You acknowledge that the Services are non-advisory and do not replace your own investment processes, risk management frameworks, or professional judgment.
EngineerTrade.io does not monitor your portfolio, does not provide suitability determinations, and does not act as a fiduciary, investment adviser, broker, or asset manager.
4) No Security Selection or Trade Instructions
EngineerTrade.io does not select securities, instruments, or strategies for you. Any tickers, instruments, or portfolios appearing in overlays, PNGs, PDFs, examples, or case studies are either:
- specified by you or your institution; or
- used solely as hypothetical or illustrative examples.
The Services do not include trade signals, execution instructions, model portfolios, or position-sizing guidance. Phase markers, colors, or labels (including any references to “Phase Entry,” “Early Moderation,” “Staged De-Risking,” “Cycle Exhaustion,” “Completion,” or “Reset”) are descriptive elements of the framework only and are not directives to initiate, modify, or close any position.
You remain solely responsible for all investment decisions, including whether, when, and how to trade, hedge, allocate, or rebalance. You agree not to treat the Services as the primary basis for any investment decision.
5) Regulatory Status
EngineerTrade LLC is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any other securities regulator as an investment adviser, broker-dealer, or equivalent. The Services are provided solely as non-advisory institutional research and are not intended to constitute personalized investment advice or a solicitation.
6) Intellectual Property
All proprietary algorithms, research visualizations, definitions, annotations, text, images, charts, and documentation are owned by EngineerTrade.io or its licensors and are protected by applicable intellectual property laws. You may not reproduce, redistribute, publicly display, or create derivative works from the Services without prior written consent.
7) Permitted Use
You may use the Services solely for your internal research, evaluation, and governance processes. You may not (a) resell or redistribute any content outside your firm or approved network, (b) use the Services to hold yourself out as providing EngineerTrade.io’s research to third parties as your own, or (c) attempt to reverse-engineer, decompile, or extract source algorithms or proprietary rules.
8) Accuracy and Availability
The Services and all related content are provided on an “as is” and “as available” basis. EngineerTrade.io makes no warranties, express or implied, regarding accuracy, completeness, timeliness, or suitability. We may modify, suspend, or discontinue any part of the Services at any time without notice.
9) Limitation of Liability
To the fullest extent permitted by law, EngineerTrade.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of, or inability to use, the Services, including but not limited to loss of profits, data, or opportunity, even if advised of such possibility. To the extent liability cannot be excluded, it shall be limited to the amount you paid (if any) for access to the Services in the twelve (12) months preceding the event giving rise to the claim.
10) Third-Party Links and Data
The Services may include data or links from third-party sources. These are provided for convenience and do not imply endorsement. EngineerTrade.io assumes no responsibility for the accuracy, completeness, or content of third-party information.
11) User Conduct
You agree not to use the Services in any unlawful, abusive, or disruptive manner, including attempts to gain unauthorized access, transmit harmful code, scrape or harvest data in violation of these Terms, or interfere with system integrity.
12) Privacy
Your use of the Services is subject to our Privacy Notice, which explains how we collect, use, and protect information.
13) Updates to the Terms
We may update these Terms periodically. Continued use of the Services after changes become effective constitutes your acceptance of the updated Terms. The effective date will reflect the latest revision.
14) Termination
We may suspend or terminate your access to the Services at our discretion, including if you violate these Terms, misuse the Services, or engage in conduct that we reasonably believe could harm the integrity of the framework, our clients, or other users.
15) No Waiver
Failure by EngineerTrade.io to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights.
16) Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17) Entire Agreement
These Terms constitute the entire agreement between you and EngineerTrade.io regarding your use of the Services and supersede any prior or contemporaneous agreements, understandings, or communications.
18) Governing Law & Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. You consent to the exclusive jurisdiction and venue of courts located within the State of Wyoming for any disputes arising out of or relating to these Terms or the Services. You are responsible for complying with all laws that apply to you in your relevant jurisdiction(s).

20) Payment, Billing & Activation
Access to any paid institutional license, overlay package, pilot program, or research delivery (“Paid Services”) begins only upon (a) acceptance of the applicable institutional terms, and (b) receipt of full payment or an approved purchase order, as applicable.
All Paid Services are invoiced in advance and are non-refundable once activated. Annual and multi-period licenses are billed upfront for the full term unless otherwise agreed in writing.
Pilot Licenses, if offered, are time-limited evaluation arrangements. Pilot access automatically expires at the end of the pilot term unless converted into a full institutional license. Pilot periods do not include any obligation to continue service thereafter.
Activation of Paid Services constitutes your acknowledgment that you are authorized by your institution to enter into the arrangement and that the Services will be used solely for internal research, posture documentation, evaluation, and governance purposes.
21) Institutional Use Scope & Redistribution Restrictions
Unless expressly permitted in writing, all overlays, annotations, PDFs, images, and research materials are licensed solely for internal use within your institution. You may not redistribute, publish, email, forward, upload, or otherwise transmit the Services to external parties, clients, prospects, or the general public.
External sharing—including but not limited to social media posts, investor letters, marketing materials, sales communications, and public presentations—is prohibited unless a specific external-use license or written authorization has been granted.
EngineerTrade.io retains the right to monitor for unauthorized redistribution and may suspend or terminate access for violations of this policy.
22) No Reliance & No Duty to Update
You acknowledge that the Services are observational in nature and are not intended to be relied upon as a primary basis for investment or trading decisions. You agree not to represent the Services to others as a source of investment recommendations or timing signals.
EngineerTrade.io has no obligation to update, correct, revise, or continue producing any specific overlay, ticker, annotation, or visualization. Any future updates, enhancements, or revisions are provided at our discretion.
23) Delivery Windows & Service Levels
Overlay delivery schedules, weekly cadences, and inter-period updates are provided as a convenience and may vary based on market conditions, data availability, operational constraints, or internal workflow changes. EngineerTrade.io does not guarantee uninterrupted delivery or any specific turnaround time.
Temporary delays or service interruptions do not entitle you to refunds, credits, or extensions unless expressly agreed in writing.
